These Terms of Service ("Terms") govern your access to and use of the website operated by BSE CONSULTANT, LLC ("BSE," "the Company," "we," "us"), an Ohio limited liability company located at 1846 Harlan Rd, Toledo, OH 43615, United States. By accessing or using this website (the "Site"), you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. The Site & Its Purpose

The Site is an informational publication describing BSE's consulting practice across six sectors — management, people, markets, operations and supply lines, environment, and the applied sciences. Descriptions of sectors, stations, methods and processes are illustrative of our operating model and are not offers, quotations or commitments of availability, staffing, pricing or performance.

2. No Engagement by Browsing

Viewing the Site, submitting a survey request, sending an email or leaving a voicemail does not create a consulting engagement or any contractual obligation. Consulting work is performed only under a written statement of work signed by authorized representatives of both parties, defining scope, method, staffing, fees, deliverables, confidentiality and data-handling terms. Until such an agreement is executed, do not transmit confidential site data, employee files, trade secrets or regulated records through the Site.

3. Not Professional Advice

Content on the Site is general information about consulting services. It is not management, legal, tax, accounting, actuarial, engineering, environmental, medical, veterinary or safety advice, and it does not replace a scoped professional opinion. Decisions affecting regulatory compliance, worker safety, site remediation, employee benefits or licensed practice should be made with qualified professionals and, where applicable, regulators.

4. Licensure-Boundary Notices

4.1 Actuarial and benefits work

Actuarial consulting listed on this Site excludes insurance actuarial services. Formal actuarial opinions, certifications and filings are the province of credentialed actuaries; consulting work coordinates under applicable professional standards and your plan documents.

4.2 Engineering-adjacent work

Building-envelope, roof, waterproofing and manufacturing-operations consulting is advisory. Sealed engineering determinations, structural opinions and code certifications require licensed engineers and are outside the scope of website-described services.

4.3 Environmental work

Site remediation, reclamation and wetland planning may be subject to agency oversight and licensed-professional sign-off. Nothing on the Site substitutes for agency-required reports or certifications.

4.4 Customs, freight and tariff work

Customs and tariff consulting is informational and analytical; customs brokerage, legal tariff classification opinions and representations before customs authorities require appropriately licensed professionals.

4.5 Veterinary and safety work

Dairy-herd, livestock and safety consulting is management-level advice, not veterinary diagnosis or OSHA-required certification. Animal-health decisions belong to licensed veterinarians; compliance certifications belong to the responsible authorities.

4.6 Financial management consulting

Financial management consulting on this Site expressly excludes investment advice. We are not investment advisers, broker-dealers or financial planners.

5. Acceptable Use

You agree not to use the Site to:

• Violate any applicable law or regulation, or infringe any third-party right;
• Transmit malware, spam, or unsolicited bulk communications;
• Probe, scan or test vulnerabilities, or interfere with Site operation;
• Submit false, misleading or fraudulent information through our forms;
• Scrape, harvest or compile Site content for commercial reuse without consent;
• Impersonate any person or entity, or misrepresent your authority to act for an organization.

We may suspend or block access for conduct that violates these Terms or threatens the Site's integrity.

6. Communications & Forms

Information submitted through the Site — including survey requests — is transmitted over ordinary internet channels and is not guaranteed to be secure or received. Response-time descriptions are targets, not guarantees. Safety-critical, deadline-driven or legally time-sensitive matters must be raised directly by telephone rather than through website communications.

7. Intellectual Property

The Site — its text, design, illustrations (including the transit artwork, field-map graphics and traverse diagrams), code, marks and layout — is the property of BSE CONSULTANT, LLC or its licensors and is protected by copyright, trademark and other laws. You may view and print pages for personal, non-commercial informational use only. No other reproduction, distribution or derivative use is permitted without prior written consent.

8. Third-Party Services

The Site may reference or link to third-party services — typeface providers, hosting platforms and others. We do not control and are not responsible for third-party content, policies or practices. Inclusion of a reference is not an endorsement.

9. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND CONTINUOUS AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BSE CONSULTANT, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE — WHETHER IN CONTRACT, TORT OR OTHERWISE — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

11. Indemnification

You agree to indemnify and hold harmless BSE CONSULTANT, LLC from claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your infringement of any third-party right.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes what we collect, how we use it, and your rights. By using the Site you acknowledge those practices.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising from or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Lucas County, Ohio, and you consent to their personal jurisdiction.

14. General Provisions

• Severability: if any provision is held unenforceable, the remainder continues in full force.
• No waiver: failure to enforce a provision is not a waiver of it.
• Assignment: you may not assign these Terms; we may assign them in connection with a reorganization or sale.
• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement regarding use of the Site.
• Updates: we may revise these Terms by posting an updated version with a new revision date; continued use constitutes acceptance.
